These Terms of Service ("Terms") govern your use of the Loopback Audio website (loopbackaudio.com) and the purchase of Loopback Audio products. By using the Site or purchasing our product, you agree to these Terms.

Plain-English summary: Use the Site and product lawfully. Pre-orders are refundable until ship. Disputes go through binding arbitration (waive jury trial / class action). Standard liability limits apply.

1. Agreement to Terms

By accessing or using the Site, or by purchasing any product from Loopback Audio, you agree to be bound by these Terms. If you do not agree, do not use the Site or purchase our products.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to purchase from Loopback Audio. By purchasing, you represent that you meet this requirement.

3. The Product

3.1 Description

Loopback Audio is a consumer hardware device that records audio from your phone, tablet, or computer to a TF (microSD) card in AAC (M4A) format. The product includes:

  • The Loopback Audio device
  • 1× USB-C charging cable
  • Quick-start guide
  • 1-year limited warranty (see Section 8)

A TF card is not included in the box. We recommend a Class 10 / U3 card with up to 1 TB capacity.

3.2 Specifications

Detailed specifications (price, dimensions, battery life, supported formats) are listed on the Product page. Specifications may change without notice.

3.3 Firmware Updates

We may release firmware updates to improve functionality or fix bugs. Updates are free and may be applied automatically or manually. Continuing to use the product after an update constitutes acceptance of any changes to its behavior.

3.4 Compatibility

Loopback Audio works with iOS, iPadOS, macOS, Windows, and Android devices that support USB audio input. We do not guarantee compatibility with future operating system versions. Refer to our FAQ for the current compatibility list.

4. Pre-orders

4.1 What is a Pre-order

A pre-order is a binding purchase where you authorize us to charge your payment method when the product ships. The estimated ship date is stated on the product page at the time of pre-order.

4.2 Pricing

Pre-order price is locked at the time you place the order. If the price increases before the product ships, you will not be charged the higher amount.

4.3 Delays

We may experience delays due to manufacturing, supply chain, regulatory certification, or other factors. If a delay exceeds 60 days from the original estimated ship date, you may:

  • Continue to wait
  • Cancel for a full refund (see Section 4.4)

4.4 Cancellation

You may cancel a pre-order at any time before the product ships for a full refund, including any shipping costs. To cancel, email support@loopbackaudio.com with your order number.

Once the product has shipped, the standard 30-day return policy applies (see Shipping & Returns).

5. Pricing and Payment

5.1 Currency

All prices are listed in US dollars (USD) unless otherwise noted. International customers are charged in USD; their bank may charge additional currency conversion fees.

5.2 Sales Tax

Sales tax (or VAT / GST, where applicable) is calculated at checkout based on your shipping address. You are responsible for paying the displayed total.

5.3 Payment Methods

We accept major credit cards (Visa, Mastercard, Amex, Discover) and other methods as shown at checkout. Payment is processed by Stripe (or Shopify Payments). We never see or store your full card number.

5.4 Pricing Errors

We reserve the right to refuse or cancel orders placed at incorrect prices due to typos, system errors, or otherwise. If this happens, we will notify you and refund any payment.

5.5 Order Acceptance

Your order is accepted when we send an order confirmation email. We may refuse or cancel an order for reasons including suspected fraud, stock unavailability, or pricing errors.

6. Shipping and Delivery

We are not responsible for delays caused by:

  • The shipping carrier
  • Customs processing (for international orders)
  • Incorrect address provided by the customer
  • Events outside our reasonable control (natural disasters, pandemics, strikes)

Risk of loss and title for items purchased from the Site pass to you upon delivery to the carrier.

7. Acceptable Use

When using the Site, you agree not to:

  • Violate any applicable law or regulation
  • Infringe on the intellectual property rights of others
  • Transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Site or its systems
  • Use the Site to harass, abuse, or harm others
  • Scrape, crawl, or use automated tools to copy Site content without permission
  • Use the Site for any unlawful or fraudulent purpose

When using the Loopback Audio product, you agree not to:

  • Use it to record content for which you do not have the legal right to record
  • Distribute copyrighted recordings made with the device
  • Reverse-engineer, decompile, or disassemble the hardware or firmware
  • Open the device enclosure (this voids the warranty)
  • Resell the product through unauthorized channels

Recording music for personal offline use is generally permitted in many jurisdictions. You are responsible for complying with your local laws regarding what you record and how you use those recordings.

8. Warranty

The Loopback Audio product comes with a 1-year limited warranty against manufacturing defects. See the full Warranty page for what's covered, what's excluded, and how to make a claim.

This warranty is in addition to any rights you have under your local consumer protection law.

9. Intellectual Property

9.1 Our Property

The Loopback Audio name, logo, product design, firmware, documentation, and Site content (excluding user-submitted content) are owned by Loopback Audio or our licensors. You may not use them without written permission, except for personal non-commercial use.

9.2 Your Content

If you submit content to us (reviews, support messages, photos, etc.), you grant Loopback Audio a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content for purposes related to our business (e.g., displaying reviews on the Site). You represent that you have the right to grant this license.

10. Disclaimers

THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOOPBACK AUDIO'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE OR PRODUCTS, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE PRODUCT IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100).

IN NO EVENT SHALL LOOPBACK AUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS OF LIABILITY; IN SUCH CASES, THE LIMITATIONS ABOVE APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

12. Indemnification

You agree to defend, indemnify, and hold harmless Loopback Audio and its officers, directors, employees, and agents from any claim, demand, loss, liability, damage, or expense (including attorneys' fees) arising out of your use of the Site or products, your violation of these Terms, or your violation of any third party's rights.

13. Class Action Waiver (US Customers)

TO THE EXTENT PERMITTED BY LAW, YOU AND LOOPBACK AUDIO AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT, YOU AND LOOPBACK AUDIO EACH WAIVE ANY RIGHT TO A JURY TRIAL.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of [TODO_STATE], USA, without regard to its conflict of law principles.

Any dispute arising from these Terms will be resolved first by good-faith negotiation (email legal@loopbackaudio.com). If not resolved within 30 days, the dispute will be submitted to binding arbitration in [TODO_STATE] under the American Arbitration Association (AAA) Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property infringement.

This does not prevent you from bringing a claim in your local court if you are a consumer in the EU/UK.

15. Termination

We may suspend or terminate your access to the Site at any time, with or without cause, with or without notice. Upon termination, the provisions of these Terms that by their nature should survive (including ownership, disclaimers, indemnity, limitations of liability) will survive.

16. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be severed and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, Shipping & Returns, and Warranty, constitute the entire agreement between you and Loopback Audio regarding the Site and products, superseding any prior agreements.

18. Changes to These Terms

We may update these Terms from time to time. Material changes will be:

  • Posted on the Site with a 30-day notice
  • Emailed to existing customers (for the product, not just the Site)
  • Reflected in the "Last updated" date above

Continued use of the Site or product after the effective date constitutes acceptance of the new Terms.
